The www.erha.ai website (the "Site") and the ERHA service (the "Service") are published by 42MERGE, a French simplified joint-stock company (SAS) with a share capital of €1,000, registered with the Paris Trade and Companies Register under number 913 592 986, whose registered office is at 229 rue Saint-Honoré, 75001 Paris, France ("ERHA", "we"). 2. Purpose and acceptance
These terms of use (the "Terms") govern access to and use of the Site and the Service. They are accepted without reservation upon account creation or, for the Site, by simply browsing it.
The Service is intended exclusively for professional users acting in the course of their business. Financial terms are governed by the Terms of Sale, available on the Site.
3. Description of the Service
ERHA automates repetitive administrative tasks: users trigger a task (with a click, a forwarded email or a file dropped into their workspace), the Service processes the files using artificial-intelligence models, double-checks the result, then returns it together with the processing cost displayed in euros.
The Service is provided online, with no installation, from a workspace dedicated to each customer.
4. Account and dedicated workspace
Access to the Service requires an account. Users warrant that the information they provide is accurate and kept up to date.
Credentials are strictly personal. Users are responsible for their confidentiality and for any activity carried out from their account, and undertake to notify us without delay of any unauthorised use.
Each customer has a dedicated workspace: their files and results are isolated from those of other customers.
5. Acceptable use
Users undertake not to:
- submit unlawful content, or files for which they do not hold the necessary rights;
- use the Service in breach of applicable laws, in particular data-protection laws for the files they submit;
- attempt to gain unauthorised access to systems, disrupt or overload the Service, or circumvent its security measures;
- resell, sublicense or make the Service available to third parties without our written consent;
- use the Service to build a competing service.
We may suspend access to the Service in the event of a serious or repeated breach of these rules, after notice has remained without effect except in emergencies.
6. Intellectual property
The Site, the Service, their interfaces, logos and trademarks are the exclusive property of ERHA or its licensors. No right other than the right to use the Service in accordance with the Terms is granted to users.
Files submitted by the customer remain their property. Results produced by the Service for the customer belong to the customer. The customer grants us a limited, non-exclusive licence to host and process their files for the sole purpose of providing the Service.
7. Availability and changes
We use reasonable means to keep the Service available, without guaranteeing uninterrupted access. Maintenance interruptions may occur; we endeavour to schedule them and to limit their duration.
The Service evolves continuously: features may be added, changed or removed without substantially degrading the subscribed services.
8. Liability
The Service includes an automatic double-check of results. Artificial-intelligence technologies may nevertheless produce errors: results are provided to assist users, who remain responsible for their final validation before any use, in particular for regulatory or contractual purposes.
ERHA is bound by an obligation of means. We cannot be held liable for indirect damages (loss of business, profit or customers). For paying customers, the liability caps set out in the Terms of Sale apply.
9. Personal data
The processing of personal data in connection with the Site and the Service is described in our Privacy Policy, available at www.erha.ai/politique-de-confidentialite.
10. Changes to the Terms
We may amend these Terms. Account holders are informed of substantial changes at least 30 days before they take effect. Continued use of the Service constitutes acceptance.
11. Governing law and jurisdiction
The Terms are governed by French law. The French version prevails; the English translation is provided for information only.
Any business-to-business dispute relating to the Terms falls under the exclusive jurisdiction of the courts of Paris, subject to applicable public-policy rules.
